User-Generated Content and Communications
Triber allows Users to post content, including profile information, messages, and other communications. Direct messages exchanged between Users are treated as private and are not made public. However, Triber reserves the right to access and review these communications periodically—strictly for the purpose of ensuring compliance with applicable laws and maintaining the integrity of our Services. Payment, Fees, and Subscription Terms
If you opt to use any paid or subscription-based services provided by Triber, you agree to pay all applicable fees in accordance with the terms presented at the time of purchase. Payments will be billed using the payment method you provide. Subscriptions will automatically renew at the end of each billing cycle unless canceled in accordance with the cancellation procedures provided during sign-up or in your account settings.
Cancellation and Refund Policy:
You may cancel your subscription at any time by following the cancellation procedures outlined in your account settings. Upon cancellation, your access to the Services shall continue until the end of the current billing period, and no further charges will be applied. For subscriptions billed on an annual basis, Triber shall issue a prorated refund for the unused portion of the subscription term, calculated based on the remaining full months following the end of the current billing month. All refunds, whether initiated within the initial 30-day period or thereafter, shall be subject to the following deductions: (i) a service fee to account for non-refundable transaction costs retained by third-party payment processors, and (ii) any applicable prorated amounts for services already rendered.
Disclaimer of Warranties and Limitation of Liability
The Services are provided on an “as is” and “as available” basis without any warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Triber does not guarantee uninterrupted or error-free access to the Services and is not responsible for any inaccuracies or omissions in the content provided. In no event shall Triber, its affiliates, or its representatives be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Services—even if advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages; accordingly, Triber’s liability will be limited to the maximum extent permitted by applicable law.
Indemnification
You agree to indemnify, defend, and hold harmless Triber, its affiliates, officers, employees, and agents from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to any act or omission by you, including without limitation: (a) your use, misuse, or inability to use the Services; (b) your breach of these Terms; or (c) your infringement of any rights of any third party.
Termination and Suspension of Accounts
Triber reserves the right to suspend or terminate any account at its sole discretion, including but not limited to instances of violation of these Terms, fraudulent behavior, or other conduct deemed harmful to the community or the integrity of the Services. In the event of termination or suspension, you will lose access to your account and any data associated with it, and Triber will have no obligation to provide a refund for any fees paid, except where required by applicable law. Should your account be terminated, you remain responsible for any liabilities incurred prior to termination, and you agree that Triber may delete any user data associated with your account following termination.
Modifications to the Terms
Triber reserves the right to update, modify, or amend these Terms at any time, in its sole discretion. In the event of any changes, we will notify you by updating the Terms on our website and, where appropriate, by sending an email or an in-app notification. Your continued use of the Services after any modifications signifies your acceptance of the revised Terms.
Governing Law and Dispute Resolution
Informal Negotiation
Before initiating any formal proceedings, the parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services (“Dispute”) through good faith informal negotiations. You must provide Triber with written notice of the Dispute, including a detailed description of the issue and any supporting documentation, sent via email to support@triber.net. Triber will have thirty (30) days from receipt of such notice to respond and attempt to resolve the Dispute. If the Dispute remains unresolved after this period, either party may proceed to binding arbitration as set forth below.
Binding Arbitration
If the parties are unable to resolve a Dispute through informal negotiations, the Dispute (except as expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer-Related Disputes (“AAA Consumer Rules”), both of which are available at the AAA website www.adr.org. Each party shall bear its own arbitration fees and costs, including its share of arbitrator compensation, as governed by the AAA rules. However, if the arbitrator determines that your claim was frivolous or brought in bad faith, you agree to reimburse Triber for its reasonable arbitration fees and legal expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online, with the default location being Cheyenne, Wyoming, unless both parties agree to conduct it remotely via videoconference. The arbitrator will issue a written decision and must follow applicable law. Any award may be challenged if the arbitrator fails to do so. You agree that all Disputes must be resolved on an individual basis, and you waive any right to participate in a class action, collective action, or representative proceeding.
Exceptions to Arbitration
Notwithstanding the above, Triber may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or other proprietary interests without submitting such matters to arbitration.
Court Fallback and Governing Law
If for any reason a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state or federal courts located in Cheyenne, Wyoming, and the parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such courts. These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws provisions.
Statute of Limitations
In no event shall any Dispute brought by either party related in any way to the Services be commenced more than one (1) year after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable, and such Dispute shall be decided by a court of competent jurisdiction within Cheyenne, Wyoming.
Electronic Communications Consent
By accessing or using Triber, you consent to receive all communications from us electronically. This includes, but is not limited to, notices, updates, agreements, and other information related to the Services, delivered via email, in-app messages, or postings on our website. You acknowledge that such electronic communications satisfy any legal requirements that such communications be in writing.
Miscellaneous Provisions
Entire Agreement: These Terms, along with our Privacy Notice and any additional policies referenced herein, constitute the entire agreement between you and Triber with respect to your use of the Services and supersede all prior understandings or agreements, whether written or oral.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision will be severed from the remainder of the Terms, which will continue in full force and effect.
Waiver: No failure or delay by Triber in exercising any right under these Terms shall operate as a waiver of such right, nor shall any single or partial exercise preclude any further exercise of that right.
Force Majeure: Triber shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, labor disputes, or governmental actions.
Assignment: Triber may assign or transfer its rights and obligations under these Terms without notice to you. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Triber.
